Terms of Service

• Retention OS is a product of MatOS, operated by Excellence Martial Arts, LLC (“we,” “us”). It is a subscription software service that helps martial arts school owners track student engagement, identify at-risk students, manage belt rank progression, and communicate with student families.
• The service is provided ‘as is’ during beta. We are actively developing the product and features may change.
• You must be 18 or older and authorized to enter agreements on behalf of your school to create an account.
• You are responsible for keeping your login credentials secure and for all activity under your account.

• Plans are billed monthly or annually in advance. Pricing is shown on our Pricing page.
• Free trials are available on eligible plans. No card is required to start a trial unless specified at sign-up.
• After a trial ends your account is automatically downgraded or paused — we will not charge you without your authorization.
• Payments are processed by Stripe. By providing a payment method you authorize Stripe to charge it on the billing cycle you selected.
• Subscriptions renew automatically. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
• We do not offer refunds for partial billing periods. If you cancel mid-month you retain access through the end of the period you paid for.
• We may change pricing with 30 days' notice. If a price increase applies to your plan we will notify you by email before it takes effect.
• If a payment fails we will retry and notify you. After 7 days of non-payment your account may be suspended until payment is resolved.

You agree to use Retention OS only for its intended purpose — managing student retention at your martial arts school. Specifically, you must not:

• Use the service to store data for any school you do not own or operate.
• Share login credentials with individuals outside your school's staff.
• Attempt to access another school's data, or exploit any vulnerability in the platform.
• Use the parent email feature to send unsolicited commercial messages unrelated to your school.
• Reverse engineer, decompile, or attempt to extract the source code of the service.
• Resell, sublicense, or white-label the service without our written consent.
• Use automated scripts or bots to scrape or bulk-extract data from the platform.
• Upload content that is illegal, defamatory, or violates a third party's intellectual property rights.

Violation of these rules may result in immediate suspension or termination of your account.

• Your data is yours. Student records, attendance history, rank data, and anything else you enter into Retention OS belongs to you.
• You grant us a limited license to store and process your data solely to provide the service to you.
• We do not claim ownership of your data. We do not sell it, share it with advertisers, or use it to train AI models.
• You are responsible for obtaining any consents required by applicable law to enter student or parent data into the platform.
• You can export your data at any time from the Reports section. On cancellation we retain your data for 90 days to allow for export, then delete it.
• Retention OS owns the software, design, algorithms, and all intellectual property that makes up the platform itself.

• The service is provided ‘as is’ and ‘as available’ without warranties of any kind, express or implied.
• We do not guarantee uninterrupted access. We aim for high availability but we cannot promise it.
• Retention OS is a tool to support your retention decisions — it does not replace your judgment as a school owner.
• To the maximum extent permitted by law, our liability to you for any claim arising from your use of the service is limited to the amount you paid us in the 3 months before the claim arose.
• We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss, even if we were advised of the possibility.
• Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In those cases the limitations above apply to the fullest extent permitted.

• You can cancel your account at any time from Account Settings. Your access continues until the end of the billing period.
• We may suspend or terminate your account immediately if you violate these terms, engage in fraud, or if required by law.
• If we choose to discontinue the service we will give you at least 60 days' notice so you can export your data.
• On termination, your right to access the service ends immediately. We will retain your data for 90 days and then delete it, unless required by law to retain it longer.

• These terms are governed by the laws of the United States.
• We will try to resolve any dispute informally first — email us at support@retentionos.com and we will respond within 5 business days.
• If we cannot resolve a dispute informally, both parties agree to binding arbitration under the American Arbitration Association rules, on an individual basis (no class actions).
• Nothing in this section prevents either party from seeking injunctive relief in a court for intellectual property violations or data security breaches.

• We may update these terms from time to time. We will notify you by email at least 14 days before any material change takes effect.
• If you continue to use the service after the effective date of a change, you accept the updated terms.
• If you do not accept a material change, you may cancel your account before the change takes effect and receive a prorated refund for any unused prepaid period.
